Channel Partner Agreement For Software Sales

2.2 Duties and Responsibilities. The chain partner must (a) manage its business in a way that always extends positively to the product and outSystems` good reputation, goodwill and reputation; (b) avoid deceptive, deceptive or unethical practices that are or could be harmful to OutSystems or the Product, including false or misleading representations regarding OutSystems or the Product. The Channel Partner is also responsible for: (i) compliance with this Agreement by its employees and contractors, including any applicable restrictions; (ii) make economically reasonable efforts to promote and expand the sale of products in the Territory, in accordance with the terms set out in this Agreement and applicable national laws and regulations; (iii) verify and meet the current requirements and benefits of a particular channel partner, as defined in the Channel Partner Program. Failure to comply with any of these obligations and liabilities may result in immediate termination by OutSystems for reasons under this Agreement. Your business must protect itself at all costs. Before you enter into your next partnership with a distributor, retailer, wholesaler or something similar, make sure you have a channel partner agreement. This type of agreement ensures that your business remains protected and that you enjoy peace of mind. We regularly update these terms.

We may also choose to replace these terms as a whole, such as when the program ends or is part of another partner program. If we update or replace the Terms, we will notify you via an in-app notification on your portal or by email. If you do not agree with the update or replacement, you may cancel as described below.
